Title: Senior Associate Attorney (1099, part-time, with potential to convert to full-time W-2 if there is interest) 

Reports to: Founding Partner 

Location: Austin, TX (or remote with appropriate licensure) 

We are hiring a part-time Senior Associate Attorney in our Corporate, Securities, and Tax transactional group.  Candidates should have intimate working knowledge and experience with startups, investor financing, mergers and acquisitions, capital markets and corporate finance, contract law, and outside general counsel matters assisting foreign and domestic privately held companies, investors, and industry professionals. This is a unique opportunity to join a growing firm based in Austin, Texas, but serving clients located across the globe.  

We offer a 100% virtual work environment for the right candidate, so long as they can be available during regular business hours. All candidates must be licensed in the appropriate state in which they are located. This is a 1099 contract role and will be paid a % of billed and collected revenue, in addition to receiving origination bonus opportunities. Depending on the goals of the firm and the candidate, full-time, W-2 opportunities are in play. 

Job Duties: 

  • Deliver expert legal counsel tailored to the needs of startups, emerging growth companies, established businesses, investors, founders, entrepreneurs, industry professionals, and funds, ensuring alignment with client objectives and industry best practices 
  • Provide investor capital financing/capital markets/venture capital legal expertise, including but not limited to: 
  • Structuring and negotiating investment agreements and structures  
  • First-chair institutional and non-institutional backed private placements with minimal partner-level supervision 
  • Manage legal due diligence 
  • Marshal closings 
  • Advising on regulatory compliance and risk management  
  • Providing ongoing legal support for issuers and funds 
  • Negotiating terms and agreements with investor counsel 
  • Keeping up to speed with current what’s market terms 
  • Maintaining intimate familiarity with NVCA forms, subscription agreements, SAFEs, convertible notes, and other common instruments and agreements 
  • Drafting and negotiating term sheets and letters of intent in the context of investor capital financings (Reg D exempt private placement offerings) 
  • Provide mergers and acquisitions legal expertise, including but not limited to: 
  • Drafting and negotiating letters of intent, asset purchase agreements, stock/equity purchase agreements, and ancillaries 
  • First chair buyer and seller side transactions with minimal partner-level supervision 
  • Manage legal due diligence 
  • Marshal closings 
  • Negotiating terms and agreements with counsel for other parties to the transaction, as well as with third parties, such as financial institutions providing financing for the transaction, governmental agencies, vendors, employees and contractors, and landlords 
  • Keeping up to speed with current market terms 
  • Provide outside general counsel on transactional legal matters for foreign and domestic privately held companies, investors, and industry professionals 

Qualifications:  

  • A minimum of five years’ experience in transactional corporate and securities law with an emphasis on investor financing, mergers and acquisitions, capital markets and corporate finance, consumer product goods, tech-based companies, intellectual property, and contract law 
  • Ability to negotiate, draft, review, provide comments to, and explain a wide range of contracts 
  • Ability to analyze complex matters and propose creative and practical solutions 
  • Superior academic credentials and excellent verbal, written, and interpersonal skills 
  • Great work ethic and the ability to excel in a fast-paced environment 
  • Ability to take and manage a high volume of matters at any given time, work well under pressure, successfully handle, and prioritize multiple competing assignments, and effectively manage deadlines 
  • Maintain the highest ethical standards and positive attitude 
  • Ability to communicate promptly and effectively, set and manage expectations, and retain and deepen business relationships with our clients 
  • Must be admitted to practice law in the state of Texas and/or state of residence (our firm has a global practice)
